Adani Ports to acquire Jaypee Fertilisers for Rs 1,500 crore

Adani Ports and Special Economic Zone Ltd (APSEZ) on Thursday announced that it has entered into a Share Purchase Agreement with Jaiprakash Associates Ltd (JAL) to acquire 100% stake in Jaypee Fertilizers & Industries Ltd, as part of the implementation of the NCLT-approved resolution plan for JAL.
The company informed exchanges that Jaypee Fertilizers & Industries Ltd is the holding company of Kanpur Fertilizers and Chemicals Ltd (KFCL), which owns around 243 acres of land in Kanpur. APSEZ said the land is strategically suitable for developing a large logistics park and warehousing facilities aligned with its logistics business.
The acquisition follows APSEZ’s earlier disclosure dated March 19, 2026, where it had expressed in-principle interest in becoming one of the implementing entities under the approved resolution plan submitted by Adani Enterprises Ltd for Jaiprakash Associates.
According to the filing, the acquisition is expected to strengthen APSEZ’s inland logistics presence and service capabilities in North India. The company added that the move aligns with its broader ambition to expand its Multi Modal Logistics Park (MMLP) network from 12 to 16 locations and increase warehousing capacity nearly fourfold by 2031.
The transaction is being undertaken under the approved resolution plan framework and is expected to be completed on the “Effective Date” under the plan.
APSEZ is India’s largest integrated transport utility company with operations spanning ports, logistics, warehousing, and multimodal infrastructure.
