ITC acquires additional stake in Mother Sparsh, holding rises to 49.32%

ITC Limited has increased its stake in Mother Sparsh Baby Care Private Limited to 49.32% following the acquisition of an additional 1,681 equity shares through a secondary purchase transaction.

The company informed exchanges on May 19 that the acquisition was completed under the second tranche of the transaction documents executed on April 17, 2025. ITC said confirmation regarding the acquisition was received at 3:00 PM on Monday.

Following the latest acquisition, ITC’s holding in Mother Sparsh increased from 39.47% to 49.32% on a fully diluted basis.

The company stated that the transaction involved a cash consideration of around ₹30 crore and was executed through a secondary purchase from existing shareholders of Mother Sparsh.

ITC added that the acquisition aligns with its strategy to build a “future ready suite of products” catering to evolving consumer needs.

Mother Sparsh operates in the personal care segment and focuses on premium ayurvedic and natural baby care, health and hygiene products. The company was incorporated on February 5, 2016.

The filing also disclosed that Mother Sparsh reported turnover of ₹138.5 crore in FY26, compared to ₹80.9 crore in FY25 and ₹58.7 crore in FY24, indicating strong growth momentum in recent years.

ITC clarified that the acquisition does not qualify as a related party transaction and that neither its group companies nor promoters have any interest in Mother Sparsh.
