TeamLease Services Announces ₹238 Crore Buyback at ₹1,600 Per Share — 12.9% Premium to CMP

TeamLease Services Limited has announced a buyback of up to 14,87,500 equity shares at ₹1,600 per share through the tender offer route, aggregating to a total outlay not exceeding ₹238 crores. At the current market price of ₹1,417, the buyback price represents a premium of approximately 12.9%, offering existing shareholders a meaningful exit opportunity above market rates.

The buyback, subject to shareholder approval via Special Resolution through postal ballot and remote e-voting, represents 8.87% of the company’s total paid-up equity capital as of March 31, 2026. The face value of each share being bought back is ₹10.

To oversee the process, the Board has constituted a dedicated Buyback Committee, delegated with full powers to execute all acts, matters, and decisions necessary in connection with the proposed buyback in accordance with applicable law.

The buyback announcement came alongside the company’s financial results filing and a separate disclosure on board-level governance. TeamLease has proposed the re-appointment of three Independent Directors for a second term of five years each, subject to shareholder approval by Special Resolution. The directors proposed for re-appointment are Mr. Mekin Maheshwari (DIN: 03621431), whose second term is proposed from 8 June 2026; Mrs. Meenakshi Nevatia (DIN: 08235844), proposed from 27 July 2026; and Mr. Somasundaram Subramaniam (DIN: 01494407), also proposed from 27 July 2026. All three completed their first five-year terms between 2021 and 2026.

For shareholders, the 12.9% premium embedded in the buyback price is a notable feature. Tender offer buybacks typically attract participation from institutional and retail holders alike, particularly when the offer price sits meaningfully above the prevailing market rate. The quantum — at ₹238 crores — is also sizeable relative to TeamLease’s scale, signalling management’s confidence in the balance sheet and a commitment to returning capital.
